EVERGREEN BIG GAME GUARANTEE
OFFICIAL RULES
1. Sponsor and Promotion Period
Sponsor. Evergreen State Sheet Metal, Inc. d/b/a Evergreen State Heating & Air Conditioning (“Evergreen”), 8431 Maltby Rd, Snohomish, WA 98296.
Effective Closure Time and Notice. For Evergreen’s protection and to create an objective cutoff, early closure becomes effective at the exact Pacific Time date and time stated in a contemporaneous written closure record authorized by Evergreen. Evergreen will promptly post or otherwise publish notice of the closure on the Promotion website and communicate the closure internally to sales and operations. Closure will not be applied retroactively to a transaction that became a Qualified Transaction before the recorded effective closure time.
2. Nature of Promotion - Contractual Conditional Refund
The Promotion is a contractual conditional rebate/refund offered uniformly to every Eligible Customer with a Qualified Transaction. It does not involve a drawing, random selection, entry pool, individual winner selection, odds of winning, or a limited number of winning customers.
Every Qualified Transaction is subject to the same Trigger Event and the same refund formula. If the Trigger Event occurs and the transaction becomes a Refund-Eligible Transaction, Evergreen will refund 100% of every qualifying dollar actually received by Evergreen on or before January 10, 2027, subject to these Official Rules. If the Trigger Event does not occur, no refund becomes payable under the Big Game Guarantee.
The size of a purchase does not change the likelihood that the Trigger Event will occur. Eligibility and the amount of the refund are determined by the customer's transaction, the occurrence of the Trigger Event, and satisfaction of these Official Rules.
3. Defined Transaction Status
Qualifying Purchase. A bona fide purchase of a product or service sold directly by Evergreen and expressly identified as qualifying on the customer's Big Game Guarantee Addendum.
Qualified Transaction. A Qualifying Purchase that satisfies all qualification requirements in Section 6 during the Promotion Period and is accepted into the Promotion before Aggregate Promotional Capacity is exhausted.
Eligible Customer. The individual, business, property owner, authorized tenant, or other legal entity that is the purchaser under a Qualified Transaction and otherwise satisfies these Official Rules.
Refund-Eligible Transaction. A Qualified Transaction for which Evergreen has actually received one or more qualifying payments on or before 11:59 p.m. Pacific Time on January 10, 2027 and that otherwise satisfies these Official Rules. A Qualified Transaction does not have to be paid in full to be Refund-Eligible as to qualifying payments timely received. Paying the transaction in full by the payment cutoff allows the customer to receive the maximum potential refund available for that transaction.
4. Eligibility
The Promotion is available to Eligible Customers purchasing Qualifying Purchases for properties within Evergreen's then-current service territory. Eligible Customers may include individuals, businesses, property owners, tenants authorized to purchase services for the applicable property, and other legal entities, subject to any exclusions stated in these Official Rules.
There is no minimum or maximum individual purchase amount unless expressly stated in these Official Rules or the customer's Big Game Guarantee Addendum. Multiple separate Qualifying Purchases by the same customer may qualify separately if each independently satisfies these Official Rules.
Employees, owners, immediate family members, affiliated companies, related-party transactions, subcontractors, and vendors are excluded unless Evergreen expressly approves otherwise in writing and counsel confirms the transaction is permitted. Purchases by federal, state, county, municipal, school district, public authority, public agency, or other governmental or public entities are excluded unless Evergreen expressly approves the transaction in writing after confirming that participation is permitted by applicable law, procurement requirements, the applicable public contract, and Evergreen’s promotional insurance coverage. No refund, rebate, payment, benefit, or other thing of value under the Promotion will be paid or provided personally to any public official, public employee, procurement officer, or other individual acting on behalf of a governmental or public entity.
5. Qualifying Purchases
A product or service qualifies only if Evergreen identifies it as a Qualifying Purchase on the customer's Big Game Guarantee Addendum. Evergreen may designate HVAC replacement and installation, HVAC service and diagnostics, HVAC repairs, maintenance services and agreements, indoor-air-quality products and services, electrical products and services, and qualifying residential and commercial products and services as eligible.
A purchase is not a Qualifying Purchase to the extent it consists of an excluded amount, is canceled, rescinded, refunded, reversed, charged back, fraudulent, fictitious, unpaid when payment is required, or otherwise fails to satisfy these Official Rules.
Each Qualifying Purchase must be supported by Evergreen's contemporaneous contract, invoice, work authorization, payment record, and Big Game Guarantee Addendum, as applicable.
6. Qualification Requirements
A quote, proposal, estimate, appointment, reservation, scheduled service, or other preliminary communication does not reserve promotional capacity or qualify a transaction.
and (d) Evergreen accepts and time-stamps the transaction as a Qualified Transaction before the Promotion ends or Evergreen’s earlier effective closure time. Qualification is determined transaction-by-transaction and is not reserved by a quote, estimate, appointment, proposal, or other preliminary communication.
The Big Game Guarantee Addendum should identify at minimum the customer, contract or invoice number, qualification date and time, Qualifying Purchase, maximum Qualifying Purchase Amount, and maximum potential refund amount. Once a transaction is a Qualified Transaction, expiration or early closure of the Promotion does not by itself eliminate that transaction's rights under these Official Rules.
7. Completion, Installation and Payment
A Qualified Transaction may be scheduled, performed, installed, or completed after the Promotion Period, including during Evergreen's 2027 installation schedule. Installation, performance, or completion by January 10, 2027, or before the Trigger Event, is not required. The existing date by which Evergreen must perform or complete the work remains unchanged and is the date otherwise stated in the applicable customer agreement or Big Game Guarantee Addendum.
Payment Cutoff and Refundable Amount. All payments that will be included in the Big Game Guarantee refund must actually be received by Evergreen on or before 11:59 p.m. Pacific Time on January 10, 2027. Every dollar Evergreen actually receives for the Qualifying Purchase by that cutoff will count toward the promotional refund if the Trigger Event occurs and all other requirements are satisfied. Payments received after that cutoff do not increase the promotional refund and are not refundable under the Big Game Guarantee. A transaction does not have to be paid in full for timely qualifying payments to be refundable; however, paying in full by the cutoff allows the customer to receive the maximum potential refund. For an approved financed transaction, only funds actually received by Evergreen from the customer’s third-party financing provider on or before the cutoff count toward the promotional refund.
If the Trigger Event occurs before a Qualified Transaction has been installed, performed, or completed, the transaction remains eligible. Evergreen will issue the applicable refund based on the qualifying payments actually received by Evergreen on or before January 10, 2027, without requiring installation, performance, or completion to occur first.
Final Promotional Payment Cutoff. January 10, 2027 at 11:59 p.m. Pacific Time is the final cutoff for payments to be included in the Big Game Guarantee refund. No qualifying payment received after that time will be added to or refunded under the Promotion. Installation, performance, or completion of the qualifying work by January 10, 2027 is not required and is not a condition of the promotional refund. A delay in installation, performance, or completion by Evergreen, including scheduling, equipment availability, permitting, weather, supply-chain conditions, labor availability, or other circumstances, will not by itself cause an otherwise Qualified Transaction to lose eligibility for qualifying payments timely received.
8. Official Result and Trigger Event
The “Trigger Event” occurs if the Seattle professional football team is officially declared the winner of the professional football championship game for the 2026-2027 season (the “Championship Game”).
The official result will be determined solely by the final result recognized and published by the National Football League (the “League”) through its official records. The result officially recognized by the League as of 1:00 p.m. Pacific Time on February 18, 2027 (the “Determination Time”) will control.
Postponement or Rescheduling. If the Championship Game is postponed, suspended, or rescheduled, the Trigger Event will be determined by the official result of the resumed, rescheduled, or completed Championship Game.
Relocation. Moving the Championship Game to another stadium, city, or venue does not affect the Promotion.
Early Termination. If the League terminates the Championship Game before normally scheduled completion but officially recognizes the game as completed and declares or recognizes a winner, that official winner controls.
Forfeit. If the League officially awards the Championship Game to Seattle by forfeit and recognizes Seattle as the winner, the Trigger Event occurs.
Official Result Changed. If the League changes, reverses, or modifies the result before the Determination Time, the result officially recognized at the Determination Time controls.
Cancellation or No Official Winner. If the Championship Game is permanently canceled, abandoned, or otherwise concluded without the League officially recognizing a champion for the 2026-2027 season, the Trigger Event does not occur.
Replacement or Modified Championship. If the League changes the name, date, format, location, or structure of the Championship Game but conducts an official game or event that determines the League champion for the 2026-2027 season, that game or event is treated as the Championship Game.
Official Source. The League's official game result and official records published through its official website or another official League communication or record control. Television broadcasts, social-media posts, news reports, betting results, sportsbook settlements, unofficial statistics, and third-party reports do not control.
9. Qualifying Purchase Amount
The “Qualifying Purchase Amount” means the total qualifying amount actually received by Evergreen on or before 11:59 p.m. Pacific Time on January 10, 2027 for qualifying products and services identified on the customer's Big Game Guarantee Addendum, after Evergreen discounts, credits, rebates, and price reductions, and excluding the amounts identified below. The Qualifying Purchase Amount may be less than the total contract price if Evergreen has not received full payment by the cutoff.
The Qualifying Purchase Amount may include qualifying Evergreen equipment, materials, labor, installation, maintenance, service, diagnostic, repair, indoor-air-quality, electrical, permit, and similar project charges expressly identified as qualifying, but only to the extent the applicable qualifying dollars are actually received by Evergreen on or before January 10, 2027.
The Qualifying Purchase Amount does not include financing interest, lender fees, finance charges, late fees, returned-payment fees, collection charges, amounts canceled/refunded/credited/written off, payments received after January 10, 2027, third-party rebates or incentives to the extent they reduce the amount ultimately received by Evergreen, gift cards or promotional credits applied against the price, nonqualifying third-party products or services, or any other amount expressly identified as excluded.
Sales Tax. Washington retail sales tax actually charged to and received by Evergreen on or before January 10, 2027 in connection with a Qualifying Purchase is included in the Qualifying Purchase Amount. Evergreen will separately state, collect, report, adjust, credit, or refund sales tax as required by applicable Washington law.
The final Big Game Guarantee Addendum and Evergreen's contemporaneous business and payment records will be used to verify the Qualifying Purchase Amount. The promotional refund amount becomes fixed as of the January 10, 2027 payment cutoff, subject to correction of documented errors, payment reversals, and the customer's right to provide reasonable supporting documentation.
10. Refund
If the Trigger Event occurs, Evergreen will refund 100% of the Qualifying Purchase Amount for each Refund-Eligible Transaction. In plain terms, every dollar Evergreen actually receives for the Qualifying Purchase on or before January 10, 2027 will be refunded, including qualifying Washington retail sales tax actually received by Evergreen, subject to the exclusions in these Official Rules. Payments received after January 10, 2027 are not included in the promotional refund. Paying in full by the cutoff allows the customer to receive the maximum potential refund. The same refund condition and formula apply to every Refund-Eligible Transaction; no drawing or winner selection is involved.
Refund Timing. Evergreen will initiate the applicable refund within thirty (30) calendar days after the Determination Time confirming occurrence of the Trigger Event, provided all other requirements are satisfied. The amount of the refund is based solely on the Qualifying Purchase Amount fixed as of the January 10, 2027 payment cutoff. Installation, performance, or completion of the work is not a condition to issuance of the refund.
Evergreen's contractual obligation to an Eligible Customer under these Official Rules is an obligation of Evergreen and is not conditioned on Evergreen's receipt of insurance proceeds or reimbursement from any third party.
11. Payment Method
Direct-Pay Purchases. For a purchase paid directly by the customer by cash, check, ACH, debit card, or credit card, Evergreen will issue the refund using the original payment method when reasonably practicable. If that method is unavailable, impracticable, or restricted, Evergreen may use check, ACH, or another lawful method payable to the customer.
Financed Purchases. For a purchase financed through a third-party financing provider, Evergreen will issue the refund in a manner permitted by the financing agreement, financing provider, applicable law, and these Official Rules. The refund may be paid to the financing provider and applied to the customer's outstanding balance, or paid to the customer if permitted. The payment method does not reduce the amount of the refund otherwise due.
Multiple Payment Methods. If more than one payment method was used, Evergreen may issue the refund through one or more of those methods or another lawful method, provided the total refund equals the applicable Qualifying Purchase Amount.
Customer Information. Customers must provide information reasonably necessary to verify eligibility and process the refund. Evergreen is not responsible for processing delays caused by inaccurate or incomplete information supplied by the customer.
Financing Costs. Financing interest, lender charges, late fees, finance charges, and other third-party financing costs do not increase the Qualifying Purchase Amount unless expressly included under the final attorney-approved rules.
12. Cancellations, Returns, Defaults and Contract Changes
Refund eligibility and the promotional refund amount are fixed as of 11:59 p.m. Pacific Time on January 10, 2027 based on qualifying payments actually received by Evergreen by that time. A Qualified Transaction does not have to be paid in full for timely qualifying payments to be Refund-Eligible. Installation or completion of the work is not required for Refund-Eligible status.
Cancellation Before January 10; Non-Cancellation After January 10. A customer may cancel a transaction before January 10, 2027 only to the extent permitted by the applicable Evergreen agreement and applicable law; a canceled transaction ceases to qualify for the Promotion. Beginning January 10, 2027 at 11:59 p.m. Pacific Time, a Qualified Transaction is non-cancellable by the customer except to the extent the customer has a cancellation, rescission, termination, or other right that cannot lawfully be waived, or a right arising from Evergreen’s material breach or other applicable law. Nothing in these Official Rules waives any nonwaivable federal or Washington cancellation or rescission right. An attempted voluntary cancellation after that time does not eliminate payment or other contractual obligations to the extent enforceable under the applicable Evergreen agreement and law.
Returns and Prior Refunds. Any product, service, or portion previously returned, refunded, credited, or reversed is excluded from the Qualifying Purchase Amount. A customer may not recover twice from Evergreen for the same amount.
Chargebacks and Payment Reversals. A payment subject to a chargeback, stop-payment, disputed payment, reversal, or unsuccessful payment does not count toward the Qualifying Purchase Amount unless the issue is fully resolved and Evergreen actually receives the funds on or before January 10, 2027. A payment first received or restored after that cutoff is not refundable under the Promotion.
Customer Default or Nonpayment. An unpaid balance does not increase the promotional refund and remains governed by the applicable Evergreen customer agreement. A customer may still be eligible for a refund of qualifying payments actually received by Evergreen on or before January 10, 2027, subject to these Official Rules. No payment received after January 10, 2027 will be added to the promotional refund.
Partial Cancellations or Reductions. Before the January 10, 2027 non-cancellation cutoff, if part of a Qualified Transaction is lawfully canceled, removed, returned, credited, or not purchased, the remaining transaction may continue to qualify and the Qualifying Purchase Amount will be reduced accordingly. After the cutoff, reductions or cancellations are permitted only to the extent required by applicable law, allowed by Evergreen in writing, or otherwise permitted under the applicable Evergreen agreement; any permitted refund, credit, reduction, chargeback, or reversal will reduce the Qualifying Purchase Amount and the promotional refund accordingly.
Change Orders. A change order, upgrade, or other increase in price increases the Qualifying Purchase Amount only to the extent the increase itself is executed, documented on an updated Big Game Guarantee Addendum, accepted into available Aggregate Promotional Capacity before expiration of the Promotion Period, and actually received by Evergreen on or before January 10, 2027. Payments for change orders received after the cutoff are not refundable under the Promotion. Reductions may reduce the Qualifying Purchase Amount after the Promotion Period.
No Duplicate Recovery. Refunds, credits, chargebacks, rebates, or other recoveries from Evergreen may not, in the aggregate, exceed the qualifying amount actually received by Evergreen on or before January 10, 2027 for the applicable Qualifying Purchase.
13. Promotion Availability and Early Closure
Promotion Availability. Evergreen does not promise or publish a fixed aggregate dollar capacity. The Promotion is subject to Evergreen’s continuing willingness and ability to obtain and maintain promotional insurance coverage and to Evergreen’s financial and operational capacity. Evergreen may stop accepting new Qualified Transactions at any time before the scheduled end of the Promotion Period for a legitimate business reason, including the availability, price, terms, limits, or conditions of promotional insurance; Evergreen’s decision not to purchase additional coverage; financial exposure; operational capacity; or other reasonable business judgment.
Prospective Closure Only. Evergreen’s early-closure decision applies only to transactions that have not yet become Qualified Transactions. A transaction that became a Qualified Transaction before the effective closure time remains protected under these Official Rules and will not lose eligibility solely because Evergreen later stops accepting new transactions.
No Reservation of Availability. Quotes, estimates, proposals, appointments, reservations, scheduled services, financing applications, or other preliminary communications do not reserve participation or insurance capacity. Only a transaction that satisfies Section 6 and is accepted and time-stamped by Evergreen before the effective closure time is a Qualified Transaction.
Insurance Administration. Evergreen may purchase promotional insurance incrementally or in other amounts it determines appropriate. Evergreen’s insurance arrangements are for Evergreen’s risk management and do not reduce or condition Evergreen’s contractual obligations to a customer whose transaction is already a Qualified Transaction under these Official Rules.
14. Taxes
Customers are responsible for determining and satisfying any federal, state, local, or other tax obligations that may arise from receiving a refund. Tax treatment may vary based on the customer, type of purchase, refund amount, and other circumstances.
Evergreen does not provide individual tax, accounting, or legal advice and makes no representation regarding a customer's tax treatment. Customers should consult their own qualified advisor.
Evergreen may collect, report, withhold, or provide tax documentation when required by law. Any such requirement does not increase the Qualifying Purchase Amount or refund otherwise payable.
15. No Affiliation and Intellectual Property
The Promotion is independently offered and administered by Evergreen. It is not sponsored, endorsed, administered by, affiliated with, or associated with any professional football league, professional football team, championship game or event, player, owner, sponsor, broadcaster, or any of their respective affiliates or related entities.
All team names, league names, event names, logos, trademarks, service marks, trade names, and other intellectual property belong to their respective owners. Any descriptive reference used to identify the Trigger Event does not imply sponsorship, endorsement, affiliation, authorization, or approval.
No such third party is responsible for administration of the Promotion, customer eligibility, or payment of refunds. Evergreen has not received authorization from any such entity to imply sponsorship or endorsement of the Promotion.
16. Administration; Fraud; Amendments; Severability
Evergreen will administer and interpret the Promotion in good faith and consistently with these Official Rules and applicable law. Evergreen may make reasonable administrative determinations necessary to verify qualification, completion, payment, Qualifying Purchase Amounts, refunds, errors, fraud, or abuse.
Evergreen may prospectively amend these Official Rules with respect to transactions not yet qualified. No amendment will materially reduce or impair the contractual rights associated with a Qualified Transaction except to the extent required by applicable law.
Evergreen may disqualify a transaction to the extent permitted by law if supported by a good-faith determination of fraud, misrepresentation, manipulation, fictitious activity, or an attempt to circumvent these Official Rules.
If any provision is held invalid or unenforceable, the remaining provisions will continue to the fullest extent permitted by law.
17. Questions and Refund Claims
A customer who believes a transaction has been incorrectly excluded, calculated, or processed should contact Evergreen at Info@EvergreenStateHVAC.com, 425.252.3114, or 8431 Maltby Rd, Snohomish, WA 98296 and provide the applicable contract or invoice number and reasonable supporting documentation.
Nothing in this section shortens or waives any right or remedy otherwise available under applicable law or the applicable customer agreement.
18. Relationship to Customer Agreement and Dispute Resolution
These Official Rules govern the Promotion generally. The customer's Big Game Guarantee Addendum identifies transaction-specific information, including the Qualifying Purchase and Qualifying Purchase Amount. The underlying Evergreen customer agreement continues to govern the sale, installation, service, payment, warranties, and other terms not specifically modified by these Official Rules or the Big Game Guarantee Addendum.
These Official Rules and the Promotion are governed by the laws of the State of Washington, without regard to conflict-of-law principles. To the extent the applicable Evergreen customer agreement contains an enforceable dispute-resolution, arbitration, venue, limitation-of-liability, attorneys’ fee, class-action waiver, jury-waiver, or other dispute-related provision, that provision will also apply to disputes arising from or relating to the Promotion to the fullest extent permitted by law. If no applicable Evergreen customer agreement contains an enforceable provision governing the dispute, any judicial proceeding arising from or relating to the Promotion will be brought in a court of competent jurisdiction in the State of Washington, subject to applicable law. Nothing in these Official Rules waives or limits any right or remedy that cannot lawfully be waived or limited.
19. Official Rules
